The managers and directors of four companies (Pfizer Italia, Astrazeneca, Pharmacia Italia and Simesa), in competition with the managers of Marvecspharma Service srl "dissipated the company assets and caused the bankruptcy of Marvecspharma Service fraudulently and in any case as a result" of operations " painful.
(Il Sole 24 Ore Radiocor) – Milan, October 13 – Emanuele Barie' is accused together with them as president and managing director of Pharmacia Italia. As for the former directors of Astrazeneca Italia, Hans Sijbesma, Fausto Massimino and Luigi Felice La Corte, these are also involved as directors of Simesa spa, another Italian company of the international group active in the pharmaceutical sector.
According to the prosecution's hypothesis, the managers and advisers of the four companies (Pfizer Italia, Astrazeneca, Pharmacia Italia and Simesa), together with the managers of Marvecspharma Service srl (a company declared bankrupt on 14 January 2011), "dissipated the corporate assets and caused the bankruptcy of Marvecspharma Service fraudulently and in any case as a result" of "malicious" operations which consisted in the "transfer" by the four companies indicated of company branches having "relationships with drug sales representatives" all of which had "a negative asset value so much as to be purchased by the bankrupt at a symbolic price and through the attribution of a sum as negative goodwill (so-called badwill)", as stated in the request for indictment.
Furthermore, according to the Milan public prosecutor's office, Marvecspharma Service did not have "the patrimonial independence, organizational capacity and market strategy suitable for productively employing" the acquired company branches, "having, moreover, accrued a negative operating result since at least 2003" . These acquisitions, the magistrates continue, burdened "the bankrupt with debts to workers and social security institutions for amounts that exceeded its financial capacity and that the amounts received as badwill could not cover".
